1. Who are we ?

EXCELLENCE SERVICE PLACE (“ESP”, “we”), a simplified joint stock company with a capital of €2,000, located at PALAIS GALATÉE – 8 rue TRACHEL – 06000 NICE, registered in the Nice Trade and Companies Register under number 985 175 231.

2. Purpose of the Terms of Use

These Terms and Conditions govern (i) access to and use of the websites www.excellenceserviceplace.com and (ii) access to ESP’s concierge services by member customers (the “Members“) who hold a CHIC / GRACE / SUBLIME Subscription (and “FAMILY” variants defined by the Service Map) and Non-Subscription Services (one-off services not included in the subscription). They apply without prejudice to service contracts signed with Members, which shall prevail in the event of any contradiction.

3. Offers & scope of services

3.1 Subscription packages. The CHIC / GRACE / SUBLIME packages give access to ESP’s concierge services with a dedicated concierge and unlimited requests, according to the different time slots and days of access indicated in the Service Charter.

The FAMILY variants extend access to additional beneficiaries. Prices/commitments are defined in the current Service Map and/or the subscription contract.

3.2 Services not included in the Subscription. Certain one-off services are not included in the subscription and are subject to a prior quote accepted by the Member, defining the agreed services, their terms and conditions and their price.

3.3 Exclusions. Physical assistance and travel are not included in the subscription price, unless otherwise stated.

3.4 Travel/package. Depending on the combination of services, certain operations may constitute a package tour within the meaning of Directive (EU) 2015/2302; in this case, the relevant rights apply (pre-contractual information, organiser’s liability, protection in the event of insolvency). In other cases, ESP acts as an intermediary and is not responsible for the proper performance of services provided by third-party providers; specific insolvency protection may apply to “linked travel arrangements” in accordance with EU law.

4. Access to services / creation & management of the relationship

4.1 Services are reserved for Members who are of legal age and legally competent (and, where applicable, their spouses/designated beneficiaries).

4.2 Request channels. Requests may be made by telephone, email, SMS, messaging services (WhatsApp/Telegram/Viber/Signal/Instagram, etc.) and via the digital channels indicated by ESP. The Member agrees that any request sent from their declared (or duly authorised) contact details shall be considered an instruction.

4.3 Partners. ESP selects and connects with partners (transport, events, travel, health, administrative/lifestyle, etc.); the services of these partners are provided under their terms and conditions (price, availability, cancellation), which are known and accepted by the Member when placing their order.

5. Rates – Invoicing – Payment

Subscriptions and the Service Card are priced according to the Service Card and/or the accepted quote. The due dates, payment terms and applicable penalties are set out in the contract/CPS and are binding on the Member; transaction, travel or third-party fees may be charged in addition, where applicable. 

6. Cancellation/Modification

6.1 Partner services. The partners’ cancellation/modification conditions apply in full to the Member.

6.2 ESP services. The terms and conditions are those set out in the quote/contract and/or specified by ESP.

6.3 If it is impossible to perform a service due to third parties, force majeure, regulatory or security constraints, ESP may offer a postponement, an equivalent service or a refund limited to the amounts invoiced by ESP for the service not performed (excluding third-party costs already incurred and non-refundable). The Member acknowledges that certain costs (airline tickets, hotel reservations, events, etc.) are non-refundable and remains responsible for their full payment.

7. Role of ESP -Liability

7.1 ESP acts : (i) directly for its own services (obligation of means), (ii) as an intermediary with regard to partners for the services they perform.

7.2 ESP is only liable for direct and foreseeable damages resulting from a proven fault on the part of ESP; indirect damages (loss of opportunity, image, etc.) are excluded, without prejudice to the mandatory rights of the consumer. (Aligned with your contracts).

7.3 For package tours, the organiser’s liability regime within the meaning of Directive (EU) 2015/2302 applies; for linked travel arrangements, the insolvency protection provided for by EU/FR law applies.

8. Conduct & loyalty

The Member undertakes to make requests that are lawful, proportionate and compatible with the applicable rules (safety, health, transport, events, etc.) and with ESP’s ethics (discretion, respect, safety of teams/partners).

9. Intellectual property

The ESP website, trademarks, logos, texts, visuals, brochures, contracts, deliverables and content are protected; any reproduction/use outside of personal and/or contractual use is prohibited without authorisation.

10. Personal data

Data processing is described in ESP’s Privacy Policy, to which these terms and conditions refer (available on the website). (The GDPR-compliant policy is attached below.)

11. Mediation & complaints (B2C)

Consumer Members may refer the matter to a consumer ombudsman free of charge after first submitting a written complaint to ESP. Designated ombudsman:[].Recourse to mediation does not preclude legal action.

12. Applicable law – Jurisdiction

French law applies.

 Consumers residing in the EU : jurisdiction of the courts of the consumer’s place of residence or Nice, at the consumer’s discretion, in accordance with EU law.

 Professionals : exclusive jurisdiction of the Commercial Court of Nice. Without prejudice to more favourable mandatory provisions.
